By accessing or using the nexonalpha website, platform, applications, APIs, documentation, and related services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not access or use the Services.

These Terms constitute a legally binding agreement between you ("User", "you") and nexonalpha ("nexonalpha", "we", "us", "our"). Additional product-specific policies (including the Refund Policy) form part of this agreement by reference.

Certain features require registration and an active account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding credentials and for all activity under your account.

We may refuse, suspend, or terminate access where we reasonably believe there is misuse, security risk, non-payment, regulatory concern, or breach of these Terms. Access may also depend on successful broker API connectivity, which is controlled by third-party brokers.

Subject to these Terms, nexonalpha grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your lawful personal or internal business purposes related to trade execution technology.

This license does not include any right to resell, sublicense, white-label, or commercially exploit the Services except as expressly agreed in a separate written contract.

You shall not: (a) reverse engineer, decompile, or attempt to extract source code except where permitted by law; (b) interfere with or disrupt the Services or related networks; (c) bypass rate limits, authentication, or security controls; (d) use automated scrapers, bots, or data mining tools against the website or APIs without prior written consent; (e) use the Services for unlawful, fraudulent, or market-abusive activity.

You shall not use the Services to provide investment advice, portfolio management, or regulated intermediary services to third parties unless you hold all required licenses and have a separate written agreement with nexonalpha authorizing such use.

The website design, text, graphics, logos, icons, software, documentation, and compilation of content are protected by copyright and other intellectual property laws. Unauthorized copying, modification, distribution, or public display is prohibited.

If you believe content on the Services infringes your copyright, contact support@nexonalpha.com with sufficient detail to identify the work and the allegedly infringing material.

If any provision of these Terms is held invalid, illegal, or unenforceable by a competent authority, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed. The remaining provisions shall continue in full force and effect.

As between you and nexonalpha, nexonalpha owns all right, title, and interest in and to the Services, including software, branding, and documentation, excluding Your Content and your strategy logic as described below.

Feedback you provide may be used by nexonalpha without obligation or compensation to improve the Services.

You must promptly notify nexonalpha of any unauthorized use of your account or security breach. nexonalpha is not liable for losses arising from unauthorized access resulting from your failure to maintain credential security.

Sharing accounts, selling access credentials, or enabling concurrent misuse beyond plan limits may result in suspension without refund.

We may collect technical logs, usage analytics, device information, and support communications to operate, secure, and improve the Services. Payment and bank transfer references you share for activation may be processed to provision access.

You are responsible for compliance with applicable data protection laws regarding any personal data you submit. Do not transmit sensitive personal data that is not required for support or account operation.

You retain ownership of your trading strategies, indicators, scanners, Expert Advisors, scripts, and related intellectual property ("Strategy Logic"). nexonalpha does not claim ownership of Strategy Logic solely because you connect it to the Services.

You grant nexonalpha a limited license to process signals and order instructions solely to provide the execution infrastructure you request. nexonalpha does not sell or redistribute your Strategy Logic.

You represent that you have all rights necessary to use Strategy Logic with the Services and that such use does not infringe third-party rights.

nexonalpha is a technology and execution platform only. It does not provide investment advice, research recommendations, tips, calls, signals, portfolio management, or fund management. It is not a stock broker, investment adviser, research analyst, or portfolio manager under applicable Indian securities laws, including the SEBI framework, unless expressly registered and disclosed otherwise (which it is not via this website offering).

Nothing on the Services constitutes an offer, solicitation, or recommendation to buy or sell any security, derivative, or financial instrument. You are solely responsible for determining whether your use of automation tools complies with laws applicable to you, including but not limited to SEBI regulations in India, and securities, commodities, and tax laws in the United States or any other jurisdiction where you trade.

If you are subject to exchange, broker, or regulatory restrictions on algorithmic or automated trading, you must ensure your configuration and usage remain compliant. nexonalpha does not supervise your trading strategies.

We may modify features, APIs, broker connectors, or these Terms from time to time. Material changes to Terms will be indicated by updating the "Last Update" date. Continued use after changes constitutes acceptance.

The Services may be unavailable due to maintenance, outages, broker API failures, network issues, force majeure, or other causes. We do not guarantee uninterrupted or error-free operation.

To the maximum extent permitted by law, nexonalpha and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Services or these Terms, whether based in contract, tort, or otherwise.

Without limiting the foregoing, nexonalpha is not liable for trading losses, missed trades, slippage, partial fills, rejected orders, delayed webhooks, broker downtime, incorrect user configuration, or market conditions.

To the maximum extent permitted by law, our aggregate liability for any claims relating to the Services shall not exceed the fees you paid to nexonalpha for the specific Service giving rise to the claim during the three (3) months preceding the event.

You agree to indemnify, defend, and hold harmless nexonalpha and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your Strategy Logic and trading decisions; (c) your breach of these Terms; (d) your violation of law or third-party rights; (e) disputes with your broker or exchange.

These Terms, together with the Refund Policy and any written order form or enterprise agreement executed by the parties, constitute the entire agreement between you and nexonalpha regarding the Services and supersede prior or contemporaneous understandings relating to the same subject matter.

If an enterprise agreement conflicts with these Terms, the enterprise agreement controls for the conflicting subject only.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

nexonalpha does not warrant that the Services will meet your requirements, achieve any particular trading result, be compatible with all brokers indefinitely, or be free of viruses or harmful components. Broker APIs are third-party services outside our control.

All fees for subscriptions, platform access, static IP, live trading connectivity, custom development, and related services are non-refundable to the maximum extent permitted by law. This includes cases of unused time, change of mind, strategy underperformance, trading losses, or broker connectivity issues outside nexonalpha's reasonable control.

See the Refund Policy page for the full statement. Purchase or use of the Services constitutes acknowledgment of the no-refund policy.

Any examples, documentation, dashboards, or illustrations on the website are for informational and operational guidance only. They are not trading recommendations.

Trading in securities, futures, options, currencies, and other instruments involves substantial risk of loss and is not suitable for every person. Past performance is not indicative of future results. You may lose some or all of your capital. You should seek independent professional advice if needed.

By using automation tools, you accept that technology failures, latency, and configuration errors can cause unintended orders. Always monitor positions and maintain independent risk controls at your broker where available.
